mollusk
END USER LICENSE AGREEMENT

Mollusk Audio LLC
Version 1.0 - Effective October 3, 2026

IMPORTANT - READ CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE.

This End User License Agreement (this "Agreement") is a legal agreement between you, either as an individual or on behalf of the entity you represent ("Licensee" or "you"), and Mollusk Audio LLC, a Texas limited liability company ("Licensor", "we", "us" or "our"), governing your use of the Software (as defined below).

BY INSTALLING, COPYING, ACCESSING OR OTHERWISE USING THE SOFTWARE, OR BY SELECTING "I ACCEPT THE AGREEMENT", "AGREE" OR ANY EQUIVALENT OPTION, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY, IN WHICH CASE "LICENSEE" AND "YOU" REFER TO THAT ENTITY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.

1. DEFINITIONS

1.1 "Software" means the mollusk application in object code form, including its conversion component, together with any accompanying documentation and any Updates provided by Licensor.

1.2 "Update" means any correction, patch, enhancement or new version of the Software that Licensor makes generally available to its licensees.

1.3 "Computer" means a single physical or virtual computer running its own installation of an operating system.

1.4 "Session" means a Pro Tools session file (including a file with the .ptx extension) together with the audio, MIDI and other files it references.

1.5 "Output" means any file generated by the Software at your direction, including REAPER project files, copied audio files and conversion reports.

1.6 "License Key" means the unique key issued to you upon purchase of a license to the Software.

1.7 "Trial" means use of the Software without a License Key, as described in Section 3.

1.8 "Reseller" means the merchant of record through which the Software is sold, currently Lemon Squeezy.

2. LICENSE GRANT

2.1 Grant. Subject to your compliance with this Agreement and payment of the applicable fee, Licensor hereby grants you a perpetual, limited, personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Software, in object code form only, for your own internal purposes. The license does not expire and requires no renewal or further payment; it ends only if this Agreement is terminated in accordance with Section 15.

2.2 Named User. Each license is granted to one (1) individual natural person. A license may not be shared among, or used concurrently by, more than one individual. An entity may acquire a separate license for each individual who uses the Software.

2.3 Permitted Computers. You may have the Software activated on no more than two (2) Computers at any one time, in any combination of the Microsoft Windows, Apple macOS and Linux operating systems supported by Licensor. This limit applies to simultaneous activations only; there is no limit on the number of different Computers on which you may use the Software over the life of your license. You may move an activation from one Computer to another, including when you replace a Computer, by deactivating the Software on the first Computer in accordance with Section 4.

2.4 Backup Copies. You may make a reasonable number of copies of the Software installer solely for backup and archival purposes, provided that each copy reproduces all proprietary notices.

2.5 Reservation of Rights. The Software is licensed, not sold. Licensor and its licensors retain all right, title and interest, including all intellectual property rights, in and to the Software. All rights not expressly granted to you in this Agreement are reserved by Licensor.

3. TRIAL

3.1 Scope. Without a License Key, the Software operates as a Trial. The Trial permits you to (a) analyze any number of Sessions and view their conversion reports, and (b) convert one (1) complete Session. You may reconvert that Session as often as you wish while its tracks, plug-ins, clips and recorded material remain identical to those in the version first converted. Saving the Session again, or changing only its levels, panning, plug-in settings, automation or display, does not make it a different Session; adding, removing or replacing any track, plug-in, clip, take or recording does. The Software will tell you before a conversion would count as a different Session. An unsuccessful conversion does not count toward the Trial. This Section 3.1 states the Trial rights for your copy of the Software; Licensor may offer a more generous Trial in a later version, but no change to the Trial will reduce these rights for a copy you have already obtained.

3.2 Terms. Use of the Trial is subject to all terms of this Agreement, except that the Trial is provided free of charge and Section 12.2 does not apply to it. You shall not circumvent or attempt to circumvent the limits of the Trial except by purchasing a license.

4. ACTIVATION

4.1 Activation. The Software must be activated with a valid License Key. Activation requires a single connection to Licensor's license service to validate the License Key and register the Computer as one of your permitted Computers. The information transmitted is described in Section 10.

4.2 Offline Use. Following activation, the Software will operate on that Computer without further network connection for the term of this Agreement. Licensor will not require periodic revalidation, and the failure of any network connection will not prevent the Software from performing conversions.

4.3 Deactivation. You may deactivate the Software on a Computer from within the Software at any time, which releases that activation for use on another Computer. If a Computer is lost, stolen, inoperable or otherwise no longer accessible to you, Licensor will release its activation through a self-service tool where one is available, or otherwise upon your request and reasonable verification of your license.

4.4 Restrictions. You shall not disable, bypass, remove or otherwise interfere with the activation mechanism, and shall not disclose your License Key to any third party.

5. UPDATES

5.1 Included Updates. Every Update to the Pro Tools to REAPER conversion functionality of the Software that Licensor releases is included in your license at no additional charge, and no such Update will require you to purchase a new or upgraded license.

5.2 No Obligation. Nothing in this Agreement obliges Licensor to develop or provide any Update, or to support any particular version of any operating system, Pro Tools, REAPER or third-party plug-in. The Software does not install Updates automatically. Each Update you choose to install is governed by this Agreement unless it is accompanied by separate terms, in which case those terms govern.

5.3 Other Products. Licensor may in the future offer conversion to or from other software. Such products may be licensed separately, and nothing in this Agreement grants you any right to them.

6. RESTRICTIONS

Except as expressly permitted by Section 9 or by applicable law notwithstanding this limitation, you shall not, and shall not permit any third party to:

(a) sell, resell, rent, lease, lend, sublicense, distribute, publish, transfer or otherwise make the Software or your License Key available to any third party, or permit any other person to use your license;

(b) remove, alter or obscure any copyright, trademark or other proprietary notice or license notice contained in the Software;

(c) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, file-format knowledge or plug-in identification data of the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation (including, where applicable, for the purpose of achieving interoperability);

(d) extract, copy or use any data contained in the Software for the identification or transfer of plug-in settings, other than through the ordinary operation of the Software;

(e) use the Software, or any code or data obtained from it in breach of paragraph (c) or (d), to develop, train or improve a product or service that replicates or competes with the functionality of the Software, provided that nothing in this paragraph restricts your use of general knowledge, skills or experience, or of the Output; or

(f) use the Software in violation of any applicable law or of the rights of any third party, including the license terms applicable to Pro Tools, REAPER or any third-party plug-in.

7. SESSIONS AND OUTPUT

7.1 Sessions. As between you and Licensor, you retain all rights in your Sessions. The Software accesses Sessions on a read-only basis; it does not write to, move or modify any Session, and where it includes audio in a project it copies that audio and leaves the original files where they are.

7.2 Output. As between you and Licensor, you own the Output. Licensor claims no right, title or interest in the Output and imposes no license terms, restrictions or watermarks on it. Your use of the Output remains subject to the rights of third parties in any material contained in your Sessions.

7.3 Responsibility. You are solely responsible for ensuring that you have all rights necessary to access, convert and use the Sessions you process with the Software and the material they contain.

8. THIRD-PARTY SOFTWARE, PLUG-INS AND TRADEMARKS

8.1 Third-Party Software. The Software reads files created by Pro Tools and generates files for REAPER. It contains no part of either program and does not require either to operate. Use of the Output requires your own validly licensed copy of REAPER and of any plug-ins referenced by your projects. Nothing in this Agreement grants you any license to third-party software, and the transfer of a plug-in's settings into a project does not grant you any license to that plug-in.

8.2 Trademarks. Pro Tools and Avid are trademarks of Avid Technology, Inc. REAPER and Cockos are trademarks of Cockos Incorporated. VST is a trademark of Steinberg Media Technologies GmbH. All other product and company names are trademarks of their respective owners and are used solely to identify the formats with which the Software interoperates. Licensor is not affiliated with, endorsed by or sponsored by any of those owners.

9. OPEN-SOURCE COMPONENTS

9.1 Components. The Software includes the following components licensed under open-source licenses:

(a) Qt, Copyright (C) The Qt Company Ltd., licensed under the GNU Lesser General Public License, version 3, and dynamically linked; and

(b) libptformat, by Damien Zammit and Robin Gareus, in modified form, licensed under the GNU Lesser General Public License, version 2.1 or (at your option) any later version.

9.2 Governing Terms. Each open-source component is governed by its own license and not by this Agreement. Nothing in this Agreement restricts any right you have under those licenses. Without limiting the foregoing, you may modify the portions of those libraries contained in the Software for your own use, and reverse engineer the Software to the extent necessary to debug such modifications.

9.3 Source Code. The complete corresponding source code of those components, including Licensor's modifications to libptformat, is available from Licensor on request free of charge, as described under Help > Legal in the Software. Copies of the applicable license texts are provided with the Software.

10. DATA AND PRIVACY

10.1 No Telemetry Unless You Choose It. The Software sends no telemetry, analytics or crash reports unless you choose to, and does not transmit any Session, audio, project name, plug-in list or Output from your Computer, except in a problem report that you choose to send under Section 10.2(c) and, only if you switch on usage summaries, in the anonymous summaries described in Section 10.2(d), which include the product and maker names of a Session's plug-ins and none of the names listed there as excluded.

10.2 Network Communications. The Software communicates over the internet only as follows:

(a) License: when you select Activate, your License Key, the Computer's network name (host name), a machine identifier and, when you activate again on a Computer that was activated before (for example after reinstalling), the identifier of that earlier activation are transmitted to Licensor's license service at license.mollusk.audio, which verifies the License Key with the Reseller. The machine identifier is a one-way cryptographic hash derived from an identifier your operating system assigns to the Computer; the underlying identifier itself is never transmitted. When you select Deactivate, your License Key and the identifier of that activation are transmitted to the same service, and when you open Help > License, the Software sends the same two items to learn how many Computers are using the License Key. The host name is whatever name the Computer has been given, which on some computers includes the owner's name. Beyond the host name, the Software does not transmit your email address or any other personal information for these purposes;

(b) Updates: each time you open the Software (unless you turn off "Check for updates when mollusk opens") and whenever you select Help > Check for updates, the Software requests the current version information from mollusk.audio, transmitting no information other than the request and the Software version. If you choose to install an Update from within the Software, it downloads that Update's installer from Licensor's download server and, if the Update comes with an amended Agreement, that Agreement's text from mollusk.audio, transmitting no information other than the requests;

(c) Problem reports and feedback: only when you select Send report, the Software transmits to Licensor's service at license.mollusk.audio, which forwards it by email to Licensor's support address, the conversion report shown to you before sending (the Session's name, its track list, plug-ins and their conversion results, the settings used, including the folder paths they name, which may contain your user name on the Computer, and version information), any note and reply email address you choose to add, the Software version and, only if you select the option to include it, the Session file itself (no audio files). When you select Send feedback, or Send report in a window opened from the Help menu, the Software transmits to the same service the text you type, the Software version, the name and version of the Computer's operating system, the date and time, any reply email address you choose to add and, only if you select the option for each, the Software's settings (including the folder paths they name, which may contain your user name on the Computer) and the conversion reports of the conversions you selected, with the contents described above. No Session file or audio file is included. If a report cannot be sent and you choose to send it by email instead, the Software prepares the message in your own email program and nothing is transmitted unless you send it yourself; and

(d) Usage summaries: only if you switch on the sharing of usage summaries, which is off until you choose it and can be switched off at any time in the Software's settings, then after each conversion the Software transmits to Licensor's service at license.mollusk.audio an anonymous summary of that conversion: counts of what the Session contained, its sample rate and bit depth, the product and maker names of its plug-ins and how each was converted, fixed codes for anything not converted and for warnings, the version of Pro Tools that saved the Session, the Software's and the operating system's versions, whether the conversion completed, failed or stopped unexpectedly, and a random identifier created when you switched the setting on and deleted when you switch it off; and, once at the next start, a note that the Software's previous run ended unexpectedly, if it did, and what the Software was doing at the time. A summary never includes the name of the Session or of anything in it (such as tracks, clips, playlists, markers, buses, sends or folders) or of any file, any folder path, the Computer's host name or machine identifier, your License Key or email address, plug-in settings or preset names, or any audio or Session file, and Licensor does not store the IP address from which it arrives.

Every request under paragraphs (a) to (d) also identifies the Software and its version number, and, as with any internet connection, the server receiving it necessarily receives the Internet Protocol (IP) address from which it is made.

10.3 Local Storage. The Software stores its settings and license and Trial information on your Computer.

10.4 Privacy Policy. What Licensor and the Reseller receive and retain in connection with activation, update checks, problem reports, usage summaries, purchases, correspondence and the website, including IP addresses, how long it is kept and in what capacity the Reseller processes it, is described in Licensor's privacy policy at mollusk.audio/privacy.

11. FEEDBACK

If you provide Licensor with suggestions, comments or other feedback regarding the Software ("Feedback"), you grant Licensor a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into the Software and Licensor's other products and services, without compensation or attribution. Providing a problem report grants Licensor no rights in your Sessions or Output beyond the use of that report to assist you and to improve the Software.

12. PURCHASE, FEES AND REFUNDS

12.1 Reseller. The Software is sold through the Reseller, which acts as merchant of record and is responsible for processing payment, collecting applicable taxes and administering refunds and chargebacks. Your purchase is additionally subject to the Reseller's buyer terms, and the Reseller may issue refunds under those terms in addition to Section 12.2. The license to use the Software is granted by Licensor under this Agreement.

12.2 Refunds. Licensor offers a full refund of the license fee if requested within fourteen (14) days of purchase, for any reason, through the Reseller or by writing to Licensor. Upon a refund, your license terminates and all activations associated with your License Key will be revoked.

12.3 Price Changes. Licensor may change the price of the Software or of any other product at any time. No price change affects a license already purchased.

13. DISCLAIMER OF WARRANTIES

13.1 Nature of Conversion. You acknowledge that Pro Tools and REAPER are different programs with different capabilities, that a conversion produced by the Software is a starting point for work in REAPER and not a certified reproduction of the original Session, and that you are responsible for reviewing all Output before relying on it. You should retain your original Sessions and verify any conversion that matters to you before deleting, overwriting or archiving the original.

13.2 Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ANY CONVERSION WILL BE COMPLETE OR ACCURATE.

13.3 Consumer Rights. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. If you are a consumer, you may have statutory rights that cannot be excluded or limited by contract, including under the laws of the European Union and the United Kingdom and the consumer guarantees of the Australian Consumer Law. Nothing in this Agreement excludes or limits any such rights.

14. LIMITATION OF LIABILITY

14.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR OR ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, WORK PRODUCT, TIME, PROFITS, REVENUE, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE OR ANY OUTPUT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE OR ANY OUTPUT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE TO THE SOFTWARE, OR TWENTY UNITED STATES DOLLARS (US$20) IF YOU PAID NOTHING.

14.3 Application. The limitations in this Section 14 apply even if any limited remedy fails of its essential purpose, and form an essential basis of the bargain between the parties. They do not limit liability that cannot be limited under applicable law, including liability for fraud or, where applicable, for death or personal injury caused by negligence.

15. TERM AND TERMINATION

15.1 Term. This Agreement is effective from the date you first install or use the Software and continues in effect until terminated in accordance with this Section 15.

15.2 Termination by You. You may terminate this Agreement at any time by giving written notice to Licensor, including by requesting a refund under Section 12.2. Uninstalling the Software, deactivating a Computer or ceasing to use the Software does not by itself terminate this Agreement or your license.

15.3 Termination by Licensor. Licensor may terminate this Agreement by written notice if you materially breach it and fail to cure the breach within fourteen (14) days after notice, or immediately upon notice if the breach is incapable of cure, including any public disclosure of your License Key.

15.4 Effect. Upon termination, all rights granted to you under this Agreement cease, and you shall stop using the Software and destroy all copies of it. Termination does not affect your ownership of the Output. Sections 1, 6, 7, 8, 11, 13, 14, 16, 18 and 20 survive termination.

16. EXPORT COMPLIANCE

The Software is subject to the export control and economic sanctions laws of the United States. You shall not use, export or re-export the Software in violation of those laws, including to any country, region or person that is the subject of United States embargoes or sanctions. You represent that you are not such a person and are not located in such a country or region.

17. UNITED STATES GOVERNMENT END USERS

The Software is a "commercial item" consisting of "commercial computer software" and "commercial computer software documentation", as those terms are used in 48 C.F.R. 2.101, 12.212 and 227.7202. United States government end users acquire the Software only as a commercial item and only with the rights granted to all other licensees under this Agreement.

18. GOVERNING LAW AND JURISDICTION

This Agreement is governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply. Subject to the following sentence, the state and federal courts located in Travis County, Texas shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and each party submits to the personal jurisdiction of those courts. If you are a consumer residing outside the United States, nothing in this Section deprives you of the protection of the mandatory laws of your country of residence or of any right to bring proceedings in its courts.

19. AMENDMENTS

Licensor may amend this Agreement in connection with a new version or Update of the Software. An amended Agreement applies only to the versions with which it is provided, upon your acceptance at installation or, for an Update installed from within the Software, upon your acceptance in the Software before that Update is installed, and does not alter the terms applicable to any version you have already installed. The current version of this Agreement is available at mollusk.audio/legal.

20. GENERAL PROVISIONS

20.1 Entire Agreement. This Agreement, together with the Reseller's buyer terms applicable to your purchase, constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous understandings regarding its subject matter.

20.2 Severability. If any provision of this Agreement is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

20.3 No Waiver. No failure or delay by Licensor in exercising any right under this Agreement shall operate as a waiver of that right.

20.4 Assignment. You may not assign or transfer this Agreement or any rights under it without Licensor's prior written consent. Licensor may assign this Agreement in connection with a merger, acquisition or sale of all or substantially all of the business or assets to which it relates, in which case your license continues on the same terms.

20.5 Notices. Licensor may give notice to you at the email address associated with your purchase. Notices to Licensor shall be sent by email to hello@mollusk.audio and are effective when received.

20.6 Language. This Agreement is written in the English language. If it is translated, the English version shall control.
